Constitutional amendment to permit director conflict of interest

I am a shareholder of a company that has an upcoming AGM. A resolution will be put to vote seeking approval for the company to invest in a start-up company run by one of the director's as her side project. Is this legal? Can I stop it from happening as just one shareholder?
